The L.O.V.E. due-diligence lens
Risk is read through four legal concepts whose content shifts from one jurisdiction to the next:
- LegalityConformity of the contract with the applicable substantive law — in particular the mandatory public-policy rules in force in each jurisdiction.
- OpposabilityWhether the contractual clauses — especially the security package — can be asserted against third parties.
- ValidityWhether the parties' commitments rest on free and informed consent.
- EnforceabilityThe executory force of the contract, and the judicial or arbitral routes available if a party defaults.
